01Who we are

Solvenza Solutions LLC is a limited liability company incorporated under the laws of the state of Wyoming, United States.

Registered address: 30 N South Gould Street, Sheridan, WY 82801, USA.

Commercial and legal contact: admin@solvenzasolutionsllc.com.

02Scope of these terms

These terms cover two types of use:

Site visitor — anyone browsing solvenzasolutionsllc.com, reading content, or submitting the contact form. Visitors accept these terms by using the site.

Contracted client — individuals or companies who hire Solvenza's services. Each project is formalized in a separate agreement (Statement of Work or Master Services Agreement) with specific scope, price, timeline, and conditions. If the project agreement conflicts with these terms, the project agreement controls.

03What we offer

Solvenza provides three types of services:

  • Custom development: software, CRM systems, websites, integrations, and automations designed specifically for each client.
  • Payroll Services: an operational payroll service for teams that don't want to run it in-house. Includes automated cycles, contractor onboarding, approvals, and reporting. Money movement stays with the client's bank or payroll processor — Solvenza does not hold funds.
  • Our own products: software built by Solvenza (including Solvi CRM and Solvenza Invoices) licensed under separate terms when commercially available.

What we are not: Solvenza is not a bank, payment processor, money transfer service, or financial entity. Our products and services organize information and automate processes, but do not move, hold, or custody funds.

04Contact form and proposals

The Start a Project form at /contact is a contact request, not a contract. Submitting the form creates no obligation for Solvenza to provide services.

If there's commercial fit, Solvenza responds with a proposal within 3 business days. The proposal is also non-binding until both parties sign it as a services agreement.

05Fees and payment

Fees for each project are set out in the project agreement. As a general rule:

  • Prices in U.S. dollars (USD) unless otherwise agreed in writing.
  • Typical structure: 50% at start, 50% at project close, or milestone-based payments.
  • Invoices sent by email, payable within 15 calendar days of issue date.
  • Overdue payments accrue a late fee of 1.5% per month on the outstanding balance, or the maximum permitted by applicable law, whichever is lower.
  • Withholding taxes, VAT, GST, or similar levies applicable to the client are the client's responsibility.

06Intellectual property

Custom deliverables: once the project is paid in full, the client receives ownership of the code and designs developed specifically for them.

What Solvenza retains: internal frameworks, reusable utilities, general know-how, and Solvenza's own products (such as Solvi CRM and Solvenza Invoices) that may be incorporated into the project under license.

Open source code: libraries and tools used retain their original licenses. The client agrees to comply with those licenses when receiving deliverables.

Client content: the client warrants that any content, data, or materials provided to Solvenza do not infringe third-party rights.

07Confidentiality

Information marked as confidential, or that a reasonable person would treat as such, is protected by both parties. This covers: business data, product roadmaps, financial information, source code, customer lists, and third-party personal data.

The confidentiality obligation survives termination of the commercial relationship for a period of three years.

08Warranties and disclaimer

Development services: Solvenza delivers the agreed work with best professional effort, following industry good practices. We include 30 days of post-launch support to fix defects in the delivered code.

Own products: provided "AS IS" and "AS AVAILABLE". Solvenza does not warrant that they are error-free or that they will meet specific client requirements.

Beyond the points above, Solvenza disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

09Limitation of liability

To the maximum extent permitted by law:

  • Solvenza's total aggregate liability for any claim related to the services is limited to the amount actually paid by the client to Solvenza during the 12 months preceding the claim.
  • Solvenza is not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost profits, lost revenue, loss of data, business interruption, or reputational harm.
  • These limitations apply even if Solvenza has been advised of the possibility of such damages.

10Indemnification

The client indemnifies Solvenza against third-party claims arising from: content, data, or materials provided by the client; use of custom software beyond the agreed scope; or the client's violation of applicable law.

Solvenza indemnifies the client against third-party claims alleging that the custom code delivered infringes intellectual property rights, provided the client notifies Solvenza promptly and allows Solvenza to control the defense.

11Term and termination

These terms apply while the client uses the site or is under contract with Solvenza.

Either party may terminate the commercial relationship with 30 days of written notice. Fees accrued through the termination date remain payable.

The sections on intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

12Governing law and jurisdiction

These terms and any related dispute are governed by the laws of the state of Wyoming, United States, without giving effect to its conflict-of-law rules.

The parties submit to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming for any dispute arising out of or related to these terms.

For disputes under USD 25,000, the parties may elect individual (non-class) arbitration administered by the American Arbitration Association under its Commercial Rules.

13Changes to these terms

Solvenza may modify these terms. Updated versions are posted on this page with a new "Last updated" date. Continued use of the site or services after the change implies acceptance of the updated terms.

If a change materially affects a contracted client's rights, Solvenza will provide 30 days' advance notice by email.
